These Terms of Service (“Terms”) govern your access to and use of the website synapsepartners.io and the professional services provided by Synapse Partners Integrations S.A.C. (“Synapse,” “we,” “us,” or “our”), a company incorporated in Lima, Peru. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Synapse provides commerce integration consulting, implementation, and optimization services, including but not limited to: Pipe17 implementation, Oracle NetSuite integration, order management system (OMS) architecture, third-party logistics (3PL) connectivity, and related technical services (“Services”). The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between Synapse and the client.

2. Website Use

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable local, national, or international laws or regulations.
  • Transmit unsolicited or unauthorized advertising or promotional material.
  • Attempt to gain unauthorized access to any part of the website or its related systems.
  • Reproduce, duplicate, copy, or resell any part of the website without our express written permission.

3. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of Synapse Partners Integrations or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Deliverables created specifically for a client under a signed SOW become the property of the client upon full payment, unless otherwise agreed in writing. Synapse retains ownership of its proprietary methodologies, frameworks, tools, and pre-existing intellectual property.

4. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with a service engagement, including technical architectures, business processes, pricing, and client data. This obligation survives termination of the engagement for a period of three (3) years. Specific confidentiality terms are detailed in the applicable SOW or Non-Disclosure Agreement (NDA).

5. Fees and Payment

Fees for Services are set forth in the applicable SOW. Unless otherwise agreed:

  • Invoices are payable within fifteen (15) days of the invoice date.
  • Late payments may be subject to interest at 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
  • Synapse reserves the right to suspend Services in the event of non-payment after providing written notice.
  • All fees are exclusive of applicable taxes, which are the client’s responsibility.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Synapse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our website or Services, even if advised of the possibility of such damages.

Synapse’s total aggregate liability to you for any claims arising under or related to these Terms or any SOW shall not exceed the total fees paid by you to Synapse in the three (3) months preceding the claim.

7. Warranties and Disclaimers

The website and its content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Synapse warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards. Specific performance warranties are detailed in the applicable SOW.

8. Third-Party Platforms

Our Services may involve the configuration and integration of third-party platforms (including Pipe17, Oracle NetSuite, Shopify, Amazon, and logistics providers). Synapse is not responsible for the terms, availability, performance, or changes to these platforms. Clients are responsible for maintaining valid licenses and agreements with all third-party platforms used in their commerce stack.

9. Termination

Either party may terminate a service engagement as specified in the applicable SOW. Synapse reserves the right to terminate website access immediately if you breach these Terms. Upon termination of an engagement, fees for work completed through the termination date remain payable.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Peru. Any disputes arising from these Terms or our Services shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in Lima, Peru, under the rules of the Lima Chamber of Commerce Arbitration Center (Centro de Arbitraje de la Cámara de Comercio de Lima), unless the parties agree otherwise in the applicable SOW.

For clients located in the United States or the European Union, Synapse agrees to include jurisdiction-specific dispute resolution provisions in the applicable SOW upon request.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the “Last updated” date. Your continued use of our website or Services after changes take effect constitutes acceptance of the revised Terms.
